Terms of Service

These Terms of Service ("Terms") govern your use of JustPayroll, a payroll processing platform operated by Tireda ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
1. The Service
JustPayroll is a pay-as-you-go payroll processing platform that enables small and medium-sized enterprises ("SMEs") in Nigeria to:
- Manage employee records and bank details
- Process salary payments to employee bank accounts
- Track salary deductions for internal accounting purposes
- Maintain payroll history and audit trails
2. Eligibility
To use JustPayroll, you must:
- Be at least 18 years of age
- Have the legal authority to enter into these Terms
- Have the authority to manage payroll for your organization
- Provide accurate and complete registration information
3. Account Registration and Security
- You may register using your phone number (OTP verification) or through a supported OAuth provider (Google, Facebook, GitHub, Microsoft).
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately of any unauthorized access to your account.
- We are not liable for any loss resulting from unauthorized use of your account.
4. Organizations and Roles
- Each user can create and belong to multiple organizations.
- Organizations have role-based access: Owner, Admin, and Approver.
- The Owner is responsible for managing organization membership and permissions.
- Payroll runs require approval from an authorized Approver before funds are transferred.
5. Payroll Processing
- Payroll can only be initiated when the organization has at least one active employee with verified bank details.
- All bank account numbers are verified before payroll processing to prevent erroneous transfers.
- Once approved, payroll transfers are processed through our payment partner, Paystack.
- Transfer status is tracked in real time: Processing, Completed, or Failed.
- Failed transfers are automatically refunded to your organization's wallet.
6. Fees and Payment
- No subscription fees: JustPayroll does not charge monthly or annual subscription fees.
- Processing fees: A per-employee processing fee is charged each time you run payroll, based on the employee's salary amount:
- Salary ₦0 – ₦5,000: ₦10 per employee
- Salary ₦5,001 – ₦50,000: ₦25 per employee
- Salary above ₦50,000: ₦50 per employee
- Processing fees are deducted from your organization's wallet at the time of payroll approval.
- If a transfer fails, the processing fee for that specific transfer is refunded to your wallet.
- We reserve the right to modify fee tiers with reasonable notice to users.
7. Wallet
- Each organization has a wallet that must be funded before payroll can be processed.
- Wallet funds are used to pay employee salaries and processing fees.
- Wallet funding is processed through Paystack and is subject to Paystack's terms and processing times.
- Wallet balances do not earn interest.
8. Deductions and Tax Records
Important: JustPayroll allows you to record and track salary deductions (such as PAYE tax, pension contributions, and loan repayments) for your organization's internal accounting purposes only. We do not:
- Remit taxes to any government agency on your behalf
- Make pension contributions on your behalf
- File tax returns or statutory reports
- Provide tax advisory services
You remain solely responsible for all statutory obligations, including tax remittance and pension contributions. The deduction records maintained in JustPayroll are for your internal bookkeeping only.
9. User Obligations
You agree to:
- Provide accurate employee information and bank details
- Ensure sufficient wallet balance before running payroll
- Use the Service only for lawful payroll processing purposes
- Not attempt to circumvent security measures or access unauthorized features
- Not use the Service for money laundering, fraud, or any illegal activity
- Comply with all applicable Nigerian employment and tax laws
10. Data Protection
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to our data practices as described in the Privacy Policy.
11. Service Availability
- We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
- We may perform scheduled maintenance with advance notice where possible.
- We are not liable for disruptions caused by third-party services (banking networks, payment processors, internet service providers).
12. Limitation of Liability
- JustPayroll is provided "as is" and "as available."
- To the maximum extent permitted by law, Tireda shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability for any claim related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
- We are not liable for delays or failures in salary transfers caused by banking networks or our payment processor.
13. Termination
- You may close your account at any time by contacting us.
- We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice.
- Upon termination, your access to the Service will cease, but we will retain payroll records as required by law (see our Privacy Policy for retention periods).
- Any wallet balance at the time of account closure will be refunded to the original funding source, less any outstanding fees.
14. Intellectual Property
JustPayroll, its name, logo, and all related content, features, and functionality are owned by Tireda and are protected by Nigerian and international intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Service without our express written permission.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. Governing Law and Disputes
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- Any disputes arising from these Terms or your use of the Service shall be resolved through negotiation in good faith.
- If negotiation fails, disputes shall be submitted to binding arbitration in Lagos, Nigeria, under the Arbitration and Mediation Act 2023.
- Nothing in these Terms prevents either party from seeking injunctive relief in a court of competent jurisdiction.
